Provider Services Agreement

The agreement between Oregon Care Network and the licensed homes we staff. What we do, what it costs, who is responsible for what.

Who this agreement is between

This agreement is between Oregon Care Network LLC, an Oregon limited liability company based in Salem, Oregon and licensed by the State of Oregon as a Temporary Staffing Agency under license number TSA-L-10274908 ("we", "us", "Oregon Care Network"), and the licensed care provider that creates an account with us ("you", "the Provider").

You accept this agreement when you complete signup and pay your first membership charge. It governs every shift we staff for you from that point onward.

If you are signing up on behalf of a business, you are confirming that you have the authority to bind that business to this agreement.

Words that mean something specific

A Home is one licensed adult foster home or 24-hour residential care home that you operate, identified by its Oregon license number. Each Home is counted and billed separately.

A Caregiver is a person employed by Oregon Care Network as a W-2 employee and placed on shifts at your Home. Caregivers are never your employees, and they are never independent contractors.

A Shift is a single block of time at one Home, with a start time, an end time, and an hourly rate, posted by you or by us on your behalf.

The Base Rate is the hourly wage paid to the Caregiver for a Shift. The Agency Fee is our charge for placing and employing that Caregiver, calculated as a percentage of the Base Rate and added on top of it.

What we do

We recruit, screen, hire and employ caregivers, and we place them into your Home on the shifts you post.

Before a Caregiver works their first shift for us, we verify that they have completed a criminal background check, Oregon Basic Training or an accepted equivalent, and mandatory reporter training. We keep records of these and can produce them if your licensor asks.

As their employer, we handle payroll, payroll taxes, workers' compensation coverage, and Oregon sick time accrual under ORS 653.606. You never pay a Caregiver directly and you never carry them on your payroll.

We give you a shift board, a record of hours worked, and an itemized invoice for every shift we bill you for.

What we do not do

We are a staffing agency, not a care provider. We do not hold your license, we do not direct care, and we do not assume any part of your regulatory obligations under OAR 411-360, OAR 411-325, or any other rule that applies to your Home.

The resident remains yours. The care plan remains yours. Supervision of the work performed in your Home remains yours.

We do not promise that any particular shift will be filled. We will make a reasonable effort to fill every shift you post, and we will tell you promptly when we cannot.

What you are responsible for

You must hold a current, valid Oregon license for every Home on your account, and tell us within two business days if any license is suspended, revoked, restricted, or not renewed.

You must give every Caregiver a safe place to work, a working orientation to the Home, and the information they need to do the job safely, including resident-specific needs, behavior plans, emergency procedures, and where supplies and equipment are kept.

You must not ask a Caregiver to perform a task outside the scope of their training or certification, to administer medication unless they hold the required certification and your policy permits it, to work alone with a resident whose plan requires two staff, or to stay past their scheduled end time without our approval.

You must report to us within 24 hours any injury to a Caregiver in your Home, any incident involving a Caregiver that you are required to report to the State, and any allegation of abuse or neglect involving a Caregiver.

License verification before you can post

When you add a Home, shift posting for that Home stays switched off until we verify its license with the State. Verification usually takes one to two business days.

If we cannot verify a Home's license, we remove it from your account and reduce your membership accordingly. If it was your only Home, we cancel your account and refund your membership payment in full.

Why this matters

We are placing our employees into licensed settings. Verifying the license first protects the Caregiver, protects you from a staffing relationship that would not survive a review, and protects our own license.

Posting a shift, and what it costs

When you post a Shift you set the date, the start and end time, and the Home. The system shows you the Base Rate and the total cost before you confirm. You will always see the price of a shift before you post it.

Caregiver wage floors

Every Shift carries a minimum Base Rate. You may post above a floor. You cannot post below it.

Holiday premium

Shifts that fall on a recognized holiday carry a premium added to the Base Rate: $8.00 per hour on New Year's Day, Thanksgiving, Christmas Eve, Christmas Day and New Year's Eve, and $4.00 per hour on Easter, Memorial Day, Independence Day and Labor Day.

The premium is wage. It goes to the Caregiver in full.

Agency Fee

The Agency Fee is a percentage of the Base Rate, charged on top of it. The percentage depends on how much notice we are given, because less notice means more work to fill the shift and a higher rate to fill it with.

If you post a Shift at a Base Rate at or above $20.00 per hour, or at or above $21.50 per hour, the Agency Fee tier moves to match that rate even where the notice period alone would place it lower. A shift priced like an urgent shift is billed like one.

The fee never comes out of the wage

The Agency Fee is charged to you and added on top of what the Caregiver is paid. It is never deducted from a Caregiver's wage, and no part of a holiday premium or short-notice increase is retained by us. Caregivers pay us nothing, ever.

How hours are counted

We bill the scheduled hours of the Shift, verified against the Caregiver's clock-in and clock-out times.

Where the clocked time is within 30 minutes of the scheduled time in either direction, we bill the scheduled hours. This is the ordinary case and it keeps your invoice predictable.

Where the Caregiver clocks out more than 30 minutes past the scheduled end time, we bill the scheduled hours plus the 30 minute allowance and flag the remainder for your approval. You are not billed for the excess unless you approve it.

Where the Caregiver clocks out more than 30 minutes before the scheduled end time, we bill only the hours actually worked and flag the shortfall for review.

If you need a Caregiver to stay beyond their scheduled end time, tell us. They are instructed to report it either way.

Membership, invoicing and payment

Membership

Membership is $150 per month for your first Home and $100 per month for each additional Home, charged monthly in advance to the payment method on file. Adding a Home during a billing period is prorated. Membership is separate from, and additional to, the Agency Fee on shifts.

Shift invoices

Shifts are invoiced weekly, on Monday, for the week that has just ended. Each invoice itemizes every shift: the Home, the date, the hours, the Base Rate, the fee tier applied, and the Agency Fee.

Payment

Payment is due on receipt and charged automatically to the payment method on file. You may update that payment method at any time from your account.

If a payment fails, we text you and our payment processor retries on a schedule. While a payment is outstanding you may continue to post shifts. If the retries are exhausted without payment, we place a hold on new shift postings until the balance is cleared.

Shifts already accepted are honoured

A hold stops you posting new shifts. It does not cancel shifts a Caregiver has already accepted. Those shifts are worked and billed as normal, because a Caregiver who agreed to cover your Saturday night should not lose that shift over an expired card, and a resident should not lose coverage either.

After three clean cycles

Once you have completed three consecutive billing cycles without a failed payment, you may switch to payment by bank transfer, which avoids card processing costs. We will let you know when that becomes available.

The employment relationship

Caregivers are employed by Oregon Care Network. We recruit them, we hire them, we pay them, we carry their workers' compensation, and we are the party that disciplines or dismisses them.

You direct the work in your Home in the ordinary sense that any host facility does: what needs doing, when, and to what standard under the resident's care plan. That does not make you their employer.

You agree not to pay a Caregiver directly, not to ask a Caregiver to work for you off the platform, and not to engage a Caregiver through any other agency for work at a Home on your account.

Hiring a Caregiver directly

You may hire a Caregiver onto your own payroll. We would rather you told us than went around us. If you hire, or engage in any capacity, a Caregiver who has worked a Shift at one of your Homes, and you do so while this agreement is in effect or within six months of that Caregiver's last Shift at your Home, a conversion fee of $2,500 per Caregiver becomes payable.

The fee reflects what it costs us to recruit, screen, train and onboard a caregiver. It is not a penalty and it is not a restriction on the Caregiver, who is free to work wherever they choose.

When a shift goes wrong

You can report a Caregiver from the shift record in the app. The categories and what they trigger:

A suspension takes effect at once and we review it. Where a Caregiver is suspended, any upcoming shifts they had accepted are returned to the board so they can be refilled.

You may ask us not to place a particular Caregiver at your Home again. You do not need to give a reason, and we will honour it. What you may not do is direct us to exclude caregivers on the basis of race, colour, national origin, religion, sex, sexual orientation, gender identity, age, disability, marital status, or any other characteristic protected by federal or Oregon law.

If a Caregiver fails to show for a Shift, we do not charge you the Agency Fee for that Shift.

Insurance, injury and liability

We maintain workers' compensation coverage for our employees as required by Oregon law, and commercial general liability insurance. We will provide a certificate of insurance on request.

You maintain the general and professional liability coverage required for the operation of your licensed Home, and property coverage for your premises.

If a Caregiver is injured while working in your Home, our workers' compensation coverage responds. You must report the injury to us within 24 hours and cooperate with the claim.

Each party is responsible for loss, damage or claims arising from its own acts or omissions, and each party will indemnify the other against claims arising from its own negligence or wilful misconduct. Neither party is liable to the other for indirect or consequential losses.

Our total liability arising out of this agreement is limited to the amount you have paid us in the three months before the event giving rise to the claim. Nothing in this agreement limits liability that cannot be limited by law.

Resident information and confidentiality

Caregivers will learn things about your residents in the course of their work. We train them to treat resident information as confidential and to disclose it only as required to provide care or as required by law, including their obligations as mandatory reporters.

Share with us only the resident information a Caregiver needs to work safely. We do not want, and do not ask for, resident records beyond that.

Each party will keep the other's business information confidential. Nothing here prevents either party from making a report required by law, or from cooperating with a licensing authority.

Term, cancellation and changes

This agreement runs month to month from the date you sign up and continues until either party ends it.

You may cancel at any time. Cancellation takes effect at the end of the billing period you have already paid for, and you keep access until then. Shifts already accepted by a Caregiver inside that period are worked and billed as normal.

We may end this agreement on 30 days' notice, or immediately if your license is suspended or revoked, if a Caregiver is placed at risk in your Home, or if a balance goes unpaid after the retry schedule is exhausted.

Ending this agreement does not cancel amounts already owed on either side.

Changes to these terms

We may update these terms. If a change affects pricing or a material term, we will give you at least 30 days' notice by text and email before it takes effect, and the change will apply from your next billing period. Continuing to post shifts after that date means you accept the change.

Disputes and governing law

If something goes wrong, call us first. Most things are a conversation.

If a dispute cannot be resolved that way within 30 days, either party may require non-binding mediation in Marion County, Oregon, with the cost shared equally, before starting any proceeding.

This agreement is governed by the laws of the State of Oregon. Any proceeding arising out of it will be brought in the state or federal courts located in Marion County, Oregon, and both parties consent to that venue.

If any provision of this agreement is found unenforceable, the rest of it stays in force and that provision is read as narrowly as needed to make it enforceable.
